Association of Public Data Users
By vote of the membership November 13 to 17, APDU’s Bylaw III Governance, Section 1B and Section 1E1, have been amended.
The amendments
- downsize the Board of Directors from eleven (11) to nine (9) total members--setting the number of at-large Board members at four (4) instead of the current six (6);
- reduce the Board meeting quorum size from six (6) to five (5) in accord with the smaller total number of Board members; and
- strike outdated language in one of the provisions.

The vote was 44 to approve the amendment, none to reject it.

BYLAW III: GOVERNANCE
Section 1. Board of Directors.
- Composition. The Board of Directors shall consist of the Officers, defined in Section 2 of this Bylaw as the President, Vice President, Secretary, Treasurer and the Immediate Past President, and six (6) four (4) additional at-large members who shall reflect a cross-section of the public data user community , including the academic, the corporate/for-profit, the non-profit/charitable, and the governmental sectors. The Board of Directors shall be comprised solely of persons who are eligible to hold Association offices under the terms of Bylaw I, Section 3, subsection B of these Bylaws.
- Meetings of the Board of Directors.
- Quorum. Six Five (5) Board members, including at least two Officers, shall constitute a quorum at meetings of the Board of Directors.
