By vote of the membership November 13 to 17, APDU’s Bylaw III Governance,
Section 1B and Section 1E1, have been amended.
The amendments
- downsize the Board of Directors from
eleven (11) to nine (9) total members--setting the number of at-large Board
members at four (4) instead of the current six (6);
- reduce the Board meeting
quorum size from six (6) to five (5) in accord with the smaller total
number of Board members; and
- strike outdated language in one of the provisions.
The amendments are shown below. More explanation is included in the
attached PDF
The vote was 44 to approve the amendment, none to reject it.

BYLAW III: GOVERNANCE
Section 1. Board of Directors.
- Composition. The Board of Directors shall consist of the Officers,
defined in Section 2 of this Bylaw as the President, Vice President,
Secretary, Treasurer and the Immediate Past President, and six (6)
four (4) additional at-large members
who shall reflect a cross-section of
the public data user community , including the academic, the corporate/for-profit,
the non-profit/charitable, and the governmental sectors. The Board of
Directors shall be comprised solely of persons who are eligible to hold
Association offices under the terms of Bylaw I, Section 3, subsection
B of these Bylaws.
- Meetings of the Board of Directors.
- Quorum. Six Five (5) Board members, including at least two Officers,
shall constitute a quorum at meetings of the Board of Directors.
